Terms of Service
Scormio LLC
Please read these Terms of Service ("Terms") carefully before using the Scormio platform and website at scormio.com (the "Service") operated by Scormio LLC, a Tennessee limited liability company ("Scormio," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. The Service
Scormio provides an AI-powered Software as a Service platform that enables users to upload source documents and generate SCORM-compliant e-learning modules. The Service includes module generation, an SME review portal, and version history, depending on your subscription tier.
2. Eligibility
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Service, you represent and warrant that you meet these requirements.
3. Accounts
3.1 Registration
To use the Service, you must create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.2 Account Security
You agree to notify us immediately if you suspect any unauthorized use of your account. Scormio is not liable for any loss or damage arising from unauthorized use of your account.
4. Subscriptions and Billing
4.1 Subscription Tiers
Scormio offers the following subscription tiers. Every paid tier ships every feature, including hosted LMS delivery with unlimited learners; tiers differ only in included credits and bundled author seats.
- Starter ($39/mo): 600 credits/mo, 1 author seat.
- Standard ($129/mo): 2,400 credits/mo, 3 author seats.
- Pro ($349/mo): 7,500 credits/mo, 10 author seats.
- Enterprise (custom pricing): Negotiated credit allotment, unlimited author seats, white-label, custom integrations, dedicated support, negotiated SLA.
Each subscription tier includes a bundled author-seat count. If you need more author seats than your current plan includes, you can upgrade your plan or contact Scormio for help setting up the right workspace.
If your credit balance is exhausted before the next billing cycle, you can purchase additional one-time credit packs at any time. There is no automatic overage charge — actions that require credits will be blocked until you have sufficient balance or buy a credit pack. Pack credits never expire and are consumed after your subscription's included credits.
4.2 Refund Policy
Scormio does not offer a free trial; new accounts sign up with a payment method and start a real paid plan. Starter monthly is structured as a refundable first-month: if you download a SCORM export from your account within 28 days of signup, you may request a refund of your initial subscription charge by contacting support. Your subscription remains active and bills monthly. If you do not download a SCORM export within 28 days, the first-month charge stands.
For Starter monthly subscriptions, Scormio absorbs the Stripe processing fee and the full first-month charge is returned to your card upon a qualifying refund. Annual subscriptions are not eligible for the automatic 28-day refund; that trigger is monthly-only. If you signed up for an annual subscription within the last 28 days and need to back out, contact support and we'll handle the request case-by-case.
After the 28-day window, subscriptions are non-refundable. You may cancel at any time through the Stripe Customer Portal to stop auto-renewal; cancellation takes effect at the end of your current billing cycle and the remaining term is not prorated.
4.3 Billing
Subscriptions are billed monthly, or annually in advance if you select annual at checkout. Payments are processed by Stripe. By providing payment information, you authorize Scormio to charge your payment method for all fees due. All fees are in US dollars and are non-refundable except as expressly stated in these Terms.
4.4 Failed Payments and Cancellation
If a payment fails, we will notify you and provide a 3-day grace period to update your payment information. If payment is not received within the grace period, your account will be locked. You may cancel your subscription at any time through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period.
4.5 Price Changes
We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price changes via email. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.
4.6 Done-With-You Kickoff Deposit
A $500 deposit is required to reserve a Done-With-You ("DWY") kickoff call. The deposit is handled as follows:
- If the customer and Scormio agree to proceed with the DWY build engagement following the kickoff call, the $500 deposit is credited toward the $4,997 build invoice.
- If Scormio determines on the kickoff call that the customer's source materials, timeline, or use case is not a fit for the DWY offer, the deposit is refunded the same day. Note: Stripe stopped returning fees on refunds, so the ~$15 Stripe processing fee on the original charge is non-recoverable; the amount returned to the customer's card is approximately $485.
- If the customer reschedules the kickoff call before its scheduled start time, the deposit follows the booking and remains held against the rescheduled call.
- If the customer no-shows the scheduled kickoff call without rescheduling, or declines the DWY offer after the call concludes, the deposit is retained in full and is non-refundable.
The DWY kickoff deposit is separate from subscription charges and is not subject to the trial-window refund policy described in Section 4.2.
Following a successful kickoff call, the remaining $4,497 build invoice is due before module production begins. The build invoice is refundable only in the event that Scormio fails to deliver all five SCORM packages within the 21-day delivery window measured from the kickoff call date. In that event, the $4,997 total ($500 deposit plus $4,497 build invoice) is refunded. Note: Stripe stopped returning fees on refunds, so the Stripe processing fee on the original charges (approximately $145 in aggregate) is non-recoverable; the amount returned to the customer's card is approximately $4,852. Once any SCORM package is delivered, the build invoice is non-refundable, although the included 30 days of Pro access still apply per the offer terms.
4.7 Service Availability
Scormio uses commercially reasonable efforts to keep the Service available, but the Starter, Standard, and Pro tiers are provided without any uptime, response-time, or service-level commitment. Enterprise customers may receive a separately negotiated service level agreement as part of their order form. Downtime, scheduled maintenance, third-party AI provider outages, hosting infrastructure incidents, and other interruptions may affect the Service from time to time. We do not credit or refund subscription fees for downtime except where expressly required by a written agreement.
5. Your Content
5.1 Ownership
You retain all ownership rights to the documents, files, and other materials you upload to the Service ("Your Content") and to the e-learning modules generated from Your Content ("Output"). Scormio does not claim any ownership rights in Your Content or Output.
5.2 License to Scormio
By uploading Your Content, you grant Scormio a limited, non-exclusive, royalty-free license to process, store, and use Your Content solely to provide the Service to you. We do not use Your Content to train AI models.
Scormio may generate and use aggregated, de-identified usage data and metrics derived from your use of the Service (for example, feature adoption rates, error frequency, performance statistics, and aggregate credit consumption) to operate, secure, analyze, and improve the Service. Aggregated data of this kind does not identify you, your organization, your learners, or the substantive content you upload, and is not subject to the restrictions in this Section 5.
5.3 Your Representations
You represent and warrant that:
- You own or have the necessary rights and permissions to upload Your Content and to grant Scormio the license above.
- Your Content does not infringe any third-party intellectual property rights, privacy rights, or other rights.
- Your Content does not violate any applicable law or regulation.
- Your Content does not contain malware, viruses, or other harmful code.
5.4 Content Removal
We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is harmful, illegal, or otherwise objectionable.
5.5 Data Processing Addendum
Enterprise customers and customers subject to data protection laws such as the GDPR, the California Consumer Privacy Act, or the Tennessee Information Protection Act may request that Scormio enter into a separate Data Processing Addendum ("DPA") setting out the parties' respective roles and obligations as data controller and data processor. Scormio will consider such requests in good faith and may enter into a mutually agreeable DPA where required for compliance. To submit a request, contact us with the subject line "DPA Request." Until a DPA is executed between Scormio and a customer, the Privacy Policy and these Terms govern Scormio's processing of personal information on the customer's behalf.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of any third party.
- Upload content that is defamatory, obscene, fraudulent, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service, including through automated scraping, denial-of-service activity, or circumvention of rate limits.
- Use the Service to develop a competing product or service.
- Resell or sublicense access to the Service without our written permission.
- Attempt to extract, reverse engineer, or reconstruct Scormio's system prompts, model instructions, prompt templates, model configurations, or other proprietary AI pipeline elements, including via prompt injection or adversarial inputs.
- Submit inputs designed to manipulate the Service into bypassing its safety policies, content filters, or operational constraints.
- Use Output, in whole or in part, to train, fine-tune, benchmark, or otherwise develop AI models, datasets, or services that compete with the Service.
- Generate content that depicts identifiable individuals without their consent (including synthetic likenesses, voice clones, or deepfakes), or that is hateful, harassing, or discriminatory.
- Upload sensitive personal data (such as government identifiers, financial account numbers, biometric identifiers, or health records governed by HIPAA) unless you have an executed written agreement with Scormio authorizing such use.
7. Intellectual Property
7.1 Scormio IP
The Service, including its software, design, features, and all content created by Scormio (excluding Your Content and Output), is owned by Scormio LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use Scormio's trademarks, logos, or brand features.
7.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Scormio a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
8. Third-Party Services
The Service relies on third-party AI APIs and infrastructure providers including Anthropic, OpenAI, Railway, Stripe, Cloudflare, and Resend. Your use of the Service is subject to the applicable terms and policies of these providers. Scormio is not responsible for the performance, availability, or actions of third-party services.
9. SCORM Compatibility
Scormio generates SCORM 1.2-compliant module packages by default, with SCORM 2004 and standalone HTML5 available as additional export formats, designed for compatibility with major LMS platforms including Cornerstone, SAP SuccessFactors, Moodle, Canvas, and Blackboard. However, Scormio does not guarantee compatibility with every LMS configuration. You are responsible for validating SCORM packages in your specific LMS environment before deployment to learners.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCORMIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
YOU ACKNOWLEDGE THAT THE SERVICE USES THIRD-PARTY ARTIFICIAL INTELLIGENCE MODELS AND THAT AI-GENERATED OUTPUT MAY CONTAIN INACCURACIES, OMISSIONS, BIAS, FABRICATED CITATIONS OR REFERENCES, OUTDATED INFORMATION, OR OTHER ERRORS. SCORMIO MAKES NO WARRANTY THAT OUTPUT IS ACCURATE, COMPLETE, CURRENT, UNBIASED, OR ORIGINAL, AND MAKES NO WARRANTY OF EDUCATIONAL EFFECTIVENESS, LEARNER OUTCOMES, OR FITNESS FOR ANY REGULATED USE (INCLUDING WITHOUT LIMITATION MEDICAL, LEGAL, FINANCIAL, SAFETY, COMPLIANCE, OR CERTIFICATION TRAINING). SCORMIO MAKES NO WARRANTY THAT OUTPUT MEETS ACCESSIBILITY STANDARDS SUCH AS WCAG OR SECTION 508, OR ANY OTHER JURISDICTION-SPECIFIC ACCESSIBILITY REQUIREMENT.
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, AND APPROVING ALL OUTPUT FOR ACCURACY, COMPLETENESS, LEGAL AND REGULATORY COMPLIANCE, ACCESSIBILITY, AND SUITABILITY FOR YOUR INTENDED PURPOSE BEFORE DEPLOYING IT TO LEARNERS OR RELYING ON IT FOR ANY DECISION. SCORMIO GENERATES SCORM PACKAGES INTENDED TO BE COMPATIBLE WITH COMMON LMS PLATFORMS BUT DOES NOT WARRANT COMPATIBILITY WITH ANY SPECIFIC LMS CONFIGURATION, VERSION, OR DEPLOYMENT ENVIRONMENT; YOU ARE RESPONSIBLE FOR VALIDATING EACH PACKAGE IN YOUR LMS BEFORE RELEASE TO LEARNERS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCORMIO LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF SCORMIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SCORMIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SCORMIO IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Scormio LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
13. Termination
13.1 By You
You may terminate your account at any time by canceling your subscription through the Stripe Customer Portal and contacting us to request account deletion.
13.2 By Scormio
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, Scormio, or third parties, or for any other reason in our sole discretion.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately, and any licenses granted to you under these Terms terminate. You may download your SCORM packages at any time during your active subscription. Scormio will retain Your Content for 90 days after termination to allow for data retrieval, after which it will be deleted. No refund is owed except as expressly stated in Section 4.2 or Section 4.6.
13.4 Survival
The following provisions survive termination of these Terms: Section 5.2 (License to Scormio), Section 5.3 (Your Representations), Section 7 (Intellectual Property), Section 10 (Disclaimer of Warranties), Section 11 (Limitation of Liability), Section 12 (Indemnification), Section 14 (Governing Law and Dispute Resolution), Section 16 (Miscellaneous), and any other provisions that by their nature should survive.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Sullivan County, Tennessee, and you consent to personal jurisdiction in those courts.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email to the address associated with your account or by posting a prominent notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
16. Miscellaneous

- Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Scormio's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment: You may not assign or transfer these Terms without our prior written consent. Scormio may assign these Terms without restriction.
- Force Majeure: Scormio shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
- No Partnership: Nothing in these Terms creates a partnership, agency, joint venture, employment, or fiduciary relationship between you and Scormio. Neither party has authority to bind the other.
- Notices: We may deliver notices to you by email at the address associated with your account or by posting them within the Service. You may deliver notices to us via our contact form.
- Export Controls and Sanctions: You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive US sanctions (including without limitation Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not identified on any US government restricted-party list (including the SDN List or Entity List). You agree to comply with all applicable export control, sanctions, and trade laws in your use of the Service, and you will not use the Service to develop, produce, or distribute items prohibited under such laws.
